1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and Vireon Dynamics("Vireon," "we," "us") for use of vireondynamics.com, Vireon accounts, paid subscriptions, managed inference, Team features, and related services (collectively, the "Services"). By creating an account, purchasing a plan, or using the Services you accept these Terms and our Privacy Policy.
2. Eligibility
You must be at least 16 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
3. Software license vs. Services
Liminal AI Community Edition source and binaries are licensed under FSL-1.1-MIT (see repository LICENSE). These Terms govern Vireon-hosted Services — accounts, billing, cloud sync, managed inference, and Team admin — which are separate from the open/fair-source software license.
4. Accounts
- Keep credentials confidential; you are responsible for activity under your account
- Provide accurate registration information
- Notify us promptly of unauthorized access
- Community Edition does not require an account; paid features do
5. Paid plans & billing
Pro, Team, and Enterprise plans are billed via Stripe on a subscription basis unless otherwise agreed in writing. Prices are shown on Pricing and may change with notice for future billing periods. Taxes may apply.
Inference credits and usage-based charges are pass-through metering for upstream model costs plus included allowances per plan. Details appear in your account dashboard.
Refunds and cancellation are described in our Refund & Cancellation Policy.
6. Acceptable use
You must comply with our Acceptable Use Policy. We may suspend or terminate access for violations, abuse of managed inference, or harm to the Services or others.
7. Managed inference & third-party models
Managed inference routes requests to third-party model providers. Their terms and acceptable use rules also apply. We do not guarantee model availability, accuracy, or output suitability for any purpose. You are responsible for reviewing outputs before relying on them in production systems.
8. Team & Enterprise
Organization admins may invite members, configure policies, and access audit logs. Admins are responsible for member compliance. Enterprise features may be subject to an order form or DPA in addition to these Terms.
9. Intellectual property
We retain all rights in the Services, website, branding, and documentation. Your content (code, prompts, uploaded sync data) remains yours — you grant us a limited license to host, process, and transmit it solely to provide the Services.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INCORRECT OR INCOMPLETE — VERIFY BEFORE USE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIREON WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES IN A 12-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD OR (B) AUD $100.
Some jurisdictions do not allow certain limitations — in those cases our liability is limited to the fullest extent permitted by law.
12. Indemnity
You will indemnify and hold Vireon harmless from claims arising from your content, your use of the Services in violation of these Terms or law, or your violation of third-party rights.
13. Suspension & termination
You may cancel subscriptions per the Refund Policy. We may suspend or terminate accounts for breach, non-payment, abuse, or legal requirement. On termination, license keys may be revoked after any applicable grace period; local CE use may continue under FSL terms where applicable.
14. Changes
We may modify these Terms. We will post updates on this page. Material changes to paid services will be communicated with reasonable notice. Continued use after the effective date constitutes acceptance where permitted.
15. Governing law & disputes
These Terms are governed by the laws of New South Wales, Australia, Australia, without regard to conflict-of-law rules. Courts in New South Wales have exclusive jurisdiction, unless consumer law in your country requires otherwise.
